MWE China Law Offices Wins Multiple Outstanding Law Firm Recognitions

SHANGHAI, CHINA (February 3, 2010) — MWE China Law Offices (MWE China) is pleased to announce that the Firm won the Best Tax Law Award, the Best Anti-Monopoly Law Award, the Company Law Business Award for Excellence, and the Securities Law Business Award in the Evaluation of 2008-2009 Outstanding Lawyers and Outstanding Law Firms organized by the Shanghai Bureau of Justice.  The awards ceremony was held to celebrate the 30th anniversary of the restoration of China’s legal system, to commend excellent lawyers and law firms, and to recognize the growing legal services sector in China.

MWE China received the Best Tax Law Award for its work in an acquisition project for one of the world's largest retailers.  MWE China’s lawyers demonstrated exceptional Chinese corporate law knowledge and efficient teamwork while working on this project, which entailed a significant workload over an extended time span, requiring a very high level of bilingual legal proficiency.  MWE China’s lawyers advised the client in unique legal challenges and the client benefited from their broad experience in fields from law to finance.  The MWE China lawyers revealed challenging tax issues during their collaboration with a global accounting firm on the project and overcame a series of legal and tax-related obstacles through effective cooperation with tax authorities.  The success of this deal gained wide acclaim and brought a “win-win” situation to all parties.  This is an exemplary case in which a Chinese law firm provided recognized professional services in the M&A and tax sectors.

MWE China was also honored with the Best Anti-Monopoly Law Award for its work in Pfizer’s Chinese anti-monopoly notification process during its merger with Wyeth.  The global merger is valued at approximately U.S. $68 billion, making it one of the largest mergers in history.  Working in conjunction with attorneys from McDermott Will & Emery's Washington D.C. office—and leveraging their antitrust experience—MWE China’s team provided the client with creative legal opinions on the possible divesture of a vaccine business under Pfizer China, and on the required notification for concentration process under China’s Anti-Monopoly Law, introduced in 2008.  Following the MWE China lawyers’ unrelenting effort, the merger was approved by the PRC Ministry of Commerce, with conditions attached, before the stipulated deadline for notification.  The MWE China legal team received high praise for its contributions in establishing a globally competitive mechanism of concentration notification under China's relatively new Anti-Monopoly Law.

MWE China also won the Company Law Business Award for Excellence and the Securities Law Business Award for its roles in Perkin Elmer’s acquisition deal and in China Mining Partners’ exit from the secondary market.  The MWE China team designed an entire acquisition structure for Perkin Elmer and successfully resolved issues of payment and capital supervision in the acquisition.  The team has been praised and recognized by both the client and the target company for their excellent work.  MWE China advised China Mining Partners from their pre-IPO stake to the first successful exit of a foreign invested entity on the Shanghai Stock Exchange, demonstrating MWE China’s creative talent and unique abilities to successfully advise foreign clients.
