Kevin Y. Qian is a founding partner of  MWE China Law Offices based in Shanghai.  Kevin has broad experience in the areas of corporate and commercial law.  Before studying law at the University of Minnesota, Kevin was a faculty member at the East China University of Political Science and Law and a lawyer at a prominent Shanghai-based law firm, where he focused his practice in financial, commercial and intellectual property law.

Kevin was a partner of AllBright Law Offices, the second largest law firm in China, and served at a key director of its Executive Committee. Prior to joining AllBright, Kevin was senior legal counsel for Philips Electronics in Asia, where he was responsible for legal matters concerning Philip’s 30 wholly owned and joint venture enterprises throughout the region. The business scope of these enterprises encompassed the following areas: semiconductors, LCDs, wireless telecommunications, display components, e-commerce, lighting production and research and development.  From 1997 to 1999, Kevin was deputy general manager and legal counsel for PepsiCo. Investment China Co., Ltd., where he managed more than 40 wholly owned and joint venture enterprises in the beverage, restaurant and snack food industries. In 1995, Kevin joined the San Francisco-based law firm of Pillsbury Madison & Sutro, where he worked in the finance and insurance law departments. Before joining Pillsbury, Kevin was head of the Asia Pacific and China Practice Group in the law firm of Popham Haik.

Kevin’s areas of legal experience include international syndicate loans, venture capital investments, equipment leasing, project financing, joint ventures, establishment and financing for high-tech companies, technology licensing, M&A, international arbitration and other commercial business areas.

Kevin has successfully represented hundreds of Chinese and multinational companies in M&A, venture capital investment, corporate establishment, syndicated loan and project finance matters.

Kevin is a member of the American Bar Association, the Minnesota State Bar Association and the All China Lawyers Association.

Kevin lectures and publishes frequently on the latest developments in Chinese, international and U.S. law, and he is often invited to address the Chinese, European and U.S. business communities in these areas. He is a visiting  professor at Shanghai’s Jiaotong University as well as at the East China University of Politics and Law.

In 2002, Kevin was appointed one of thefirst members of the World Trade Organisation (WTO) Committee of the All China Lawyers Association.  In 2007, Kevin was appointed vice president of the Foreign Affairs and WTO Committee and elected the vice director of the IPBA Project Coordination Committee in recognition of his leadership and contributions.
In 2002, 2003, 2004 and 2005, he was recognised as one of Asia’s Leading Business Lawyers for his work in the area of M&A.  In 2004, he accepted the nomination by the Inter-Pacific Bar Association (IPBA) to serve as the committee chairof its International Trade Committee. Kevin is the first and only lawyer from the China mainland elected as chairman of an IPBA committee.   Also in 2004, Kevin was selected by Asian Legal Business (ALB) magazine as the one of theHot 30 Lawyers in China.  He was elected to Asia Pacific’s Hot 100 Lawyers by ALB in 2005.  In 2006, Kevin was nominated by the International Who’s Who of Corporate Governance Lawyers 2006 as one of the World’s Leading Practitioners.

  • Successfully represented Angang Steel Group Co. in its strategic alliance with ThyssenKrupp of Germany
  • Successfully represented Shanghai General Motor Co in its negotiation and documentation of an 8 billion RMB syndicated loan with several banks
  • Assisted Merrill Lynch in its derivative product development in China
  • Successfully represented KKR and Silver Lake private fund in their scalable acquisition of a Lucent division in China
  • Successfully represented Acorn Campus in its negotiation of investment cooperation and devised the legal framework of Parallel Fund, a model often adopted for Sino-foreign cooperation investment
  • Successfully represented Grace Semiconductor Manufacturing Corporation in negotiating and revising the credit facility agreement of a $830 million syndicated loan
  • Successfully represented Hua Hong NEC in negotiating the addition of Jazz Semiconductor to its existing joint venture
  • Continuing legal counsel to SEMI and its wholly owned subsidiary in Shanghai
  • Represented Harvard Business School Publishing Corp. (HBSP) in its IP infringement lawsuit against a local distributor
