Jacqueline Z. Cai advises clients in a wide range of areas, including private equity and investment funds, mergers and acquisitions, foreign direct investment, overseas investments, antitrust and competition, finance, banking and derivatives, as well as private client matters. She has particular knowledge of corporate, regulatory and transactional matters in private equity/venture capital investments, mergers and acquisitions, capital markets, and corporate finance and restructuring, focusing on cross-border transactions that combine offshore and onshore structures. Jacqueline is the leader of the Corporate Department.
Jacqueline has represented numerous multinationals and large-scale state-owned companies in various industries, including e-commerce, technology, banking, semiconductors, telecommunications, logistics, retail, equipment and paper manufacturing, chemical and biochemical manufacturing, food, health care, mechanical devices and engineering.
Jacqueline has assisted Chinese and non-Chinese private equity firms/venture capital institutions in fund raising, designing investment structures, investing in portfolio companies, resolving and settling risks in their investments, removing variable interest entity (VIE) structures and publicly offering shares in stock markets. She has also represented many target companies in obtaining investments from reputable private equity firms/venture capital institutions.
In addition, Jacqueline has provided legal services to reputable multinational companies and Chinese and foreign-invested banks in connection with syndicated loans, corporate financings, design of financial products, foreign exchange and foreign debts, as well as regulatory compliance of foreign-invested banks.
With particular knowledge of the legal issues surrounding the establishment, operation and management, financing and foreign exchange control of foreign investment enterprises in China, Jacqueline has provided several well-known multinational companies and international law firms with legal opinions on some of the most challenging aspects of foreign investment in China.
