Molly J.J. Qin advises clients on projects involving mergers and acquisitions, venture capital investment and foreign direct investment in China, including matters related to regulatory compliance, anti-competition review, and labor and employment. Molly works with clients in a variety of industries, from health care, life sciences, chemical and bio-chemical manufacturing to technology, automotive and automotive parts manufacturing, telecommunications and logistics, food and agribusiness, mechanical devices and engineering.
Molly has broad experience developing close relationships with numerous Chinese and international companies, as well as overseas lawyers. She works closely with members of management, boards of directors and overseas headquarters of companies to assist them with contract review, ethical compliance and issues related to corporate governance, labor, general taxes, product liability, leases, governmental investigations and licensing.
Molly also represents venture capital firms and private companies in various types of transactions, including traditional preferred stock sales, leveraged buyouts, recapitalizations, strategic alliances and licensing transactions.
A large part of Molly's transactional practice is focused on representing public and private buyers and sellers in mergers and acquisitions and cross-border transactions. She has counseled companies in corporate structure design, negotiation of contract terms, production of relevant contracts and agreements, coordination with relevant governmental authorities, relocation and suggestions for post-closing integration.
Molly has also represented local and multinational companies in labor and employment advisory and general compliance work, advising on massive layoffs, termination negotiations with employees, investigations in connection with employees' non-ethical behaviors, work permit applications for expatriates, compliance review and investigations on environmental protection, customs clearance, foreign exchange control, and the effects on business activities of local rules in various Chinese cities and provinces.
